Exclusive negotiations are now underway between the media conglomerate and the streaming behemoth for a blockbuster acquisition of its flagship entertainment operations, a development that could profoundly reshape the entertainment industry landscape.
A High-Stakes Competition
Netflix is said to be competing against other major players like Paramount Skydance and the cable giant, the owner of Universal Studios and Sky, for ownership of the iconic Hollywood institution, the premium HBO network, and the HBO Max streaming platform.
Sources indicate the company has offered a hefty breakup fee of £3.7 billion if the acquisition fail to secure necessary regulatory approval in the US.
The Offer Details
As the company's stock sitting around approximately $24 per share, its overall market cap is estimated at roughly $60bn. Reports suggest Netflix's offer is between $28 and $30 per share, implying a total bid value in the neighborhood of $70 billion to $75 billion.
Industry experts have cautioned that such a merger could raise significant antitrust concerns, as it would combine two of the largest streaming services in the American market.
Commitments and Strategic Moves
As part of its bid, the streamer has provided guarantees that the Warner Bros film studio, behind iconic series like Harry Potter and Batman, would retain wide theatrical releases.
Before any potential deal closing, the company is planning to finalize a planned spin-off of its linear TV networks, such as TNT, TBS, and CNN.
An Entertainment Powerhouse
Should the deal proceed, the buyer would become the owner of the acclaimed HBO, creator of critically acclaimed hits including Game of Thrones, Succession, The Sopranos, and The White Lotus, along with an extensive library of classic television.
The studio officially began its auction in October following interest from several interested parties.
Industry Concerns
The potential sale has sparked controversy. Acclaimed filmmaker James Cameron, director of the Avatar and Terminator franchises, stated this week that a Netflix acquisition could lead to a "catastrophic loss of enduring worth" for the creative sector.
At first, Paramount Skydance had been considered the leading candidate. The company had also offered a $5bn breakup fee contingent on approval issues.
Allegations of an Unfair Process
Recently, Paramount argued in a letter that its bid was the most likely to gain regulatory clearance. Furthermore, the studio alleged the seller of conducting an "unfair auction process" that unduly benefited Netflix, calling it "compromised" in official documents.
Representatives for Warner Bros, Netflix, Comcast, and Paramount have declined to provide a statement on the current talks.
